1. Agreement & Scope of Services
These Terms of Service (“Terms”) govern the professional relationship between Incorp International Ltd (“Incorp International”) and the instructing client (“Client”). By instructing Incorp International, submitting a payment, or executing an engagement letter, you agree to be legally bound by these Terms.
2. Nature of Services
Incorp International provides professional corporate service advisory, company formation coordination, registered agent management, corporate banking introductions, accounting & tax compliance coordination, and digital agency services.
3. Client Due Diligence (AML / KYC)
Under international financial action task force (FATF) guidelines, UK Money Laundering Regulations, and UAE Federal Law No. (20) of 2018, all engagements require satisfactory identification, verification of ultimate beneficial owners (UBOs), and source of funds documentation.
- Client warrants that all submitted credentials and beneficial ownership disclosures are accurate, authentic, and up to date.
- Client certifies that the proposed corporate entity will not be engaged in any illicit activity, sanctions circumvention, or prohibited industries.
- Incorp International reserves the right to immediately terminate services if client fails KYC verification or triggers sanctions screenings.
4. Fees, Pricing & Upfront Agreement Guarantee
All professional fees, statutory government registration tariffs, registered office fees, and nominal duties are agreed and itemized upfront prior to project commencement.
Fixed Fee Commitment
No hidden disbursements or surprise surcharges. Any discretionary government fee fluctuations are communicated immediately.
Refund Guarantee
If an incorporation cannot be completed due to an error or default by Incorp International, our professional fees are 100% refunded in full.
5. Banking Introductions & Account Opening
Where corporate banking assistance is included in an engagement, Incorp International prepares the corporate banking dossier, submits business plans, and arranges direct banker introductions. Client acknowledges that the ultimate decision to open any commercial account rests exclusively with the relevant bank's internal compliance committee.
6. Annual Renewals & Compliance
Companies formed in jurisdictions requiring annual registered agent, registered office, or statutory license renewals must settle their annual renewal invoice at least 30 days prior to expiry to avoid statutory government penalties or administrative strike-off.
7. Governing Law & Jurisdiction
These Terms and any contractual disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales, subject to the exclusive jurisdiction of the English Courts, or at our option, the Courts of the Dubai International Financial Centre (DIFC).
